Presenting the Audited Finanacial Statements to the Board - Whose Responsibilty?

The Board has a responsibility for setting the overall strategic direction of the company and is answerable to the shareholders for its financial health. Directors have primary responsibility for providing useful and meaningful information to investors and other users of the Financial Statements. While Directors are not expected to be accounting experts, they are expected to actively seek an understanding of the numbers and challenge (where necessary) the accounting treatments adopted in the financial reports. However, typically, the Board should consist of at least one Director who is a financial expert.
