Board Minutes Best Practice Standards

The combined effect of Section 241 of the Companies and Allied Matters Act (CAMA 1990) and Section 266 (CAMA 2020) is that a company shall cause minutes of all its meetings (Board and General meetings) to be recorded and kept. Minutes serve a number of purposes, including providing a corporate record of decisions made and actions taken by the Board, as evidence of compliance to regulators, government agencies and auditors as well as preserves the history of the organisation.
