The Independent Director Limitations to Effective Monitoring

Sectoral Codes of Corporate Governance and the recently launched Nigerian Code of Corporate Governance, 2018 (NCCG) have given Inde-pendent Directors (IDs) significant prominence. The value and effectiveness of their role of moni-toring performance has however continued to come under intense scrutiny in the wake of several corporate scandals in different parts of the world including Nigeria, suggesting that IDs may not have been as effective in fulfilling the expectations of their role.
